assets of at least $5 million, not formed to acquire the
securities offered, and whose purchases are directed by
a sophisticated person

A "foreign investor" is defined as an investor
who is not a citizen of the United States, does not reside
in the United States, and who has one of the following characteristics:
(1) an understanding of investment activities; (2) a professional
status; (3) a history of speculative investments; (4) several
years of experience in the securities industry; (5) a general
familiarity with securities transactions.
